Structure
Network
Governance is held regionally. The Programme is operated in-country. The line between them is the point of the structure.
AfricaPay Limited is a direct subsidiary of Digital Local Currency Limited and the regional program manager for Africa. It is non-operating: it holds regional governance, licenses know-how downward, and has no external clients.
Each level
- Digital Local Currency Limited
- The parent, registered in England and Wales. Owns the Programme’s know-how, intellectual property and technology, and sets group governance.
- AfricaPay Limited
- Regional program manager for Africa. Non-operating.
- Country program managers
- One per market, beneath AfricaPay. Non-operating.
- West AfricaPay
- The country program manager for the West African monetary union, which is treated as a single market rather than eight. The member states share one currency, one central bank in the BCEAO, and one regional switch in GIM-UEMOA, so a corridor designed for one is a corridor designed for all of them.
- Local program providers
- A joint venture in each country with a qualified local partner. The only entity that operates, contracts with member banks, or interacts with any external party.
How income moves
All external revenue originates at the local program provider, from its agreements with member banks, and moves upward as royalty and know-how licensing fees. Capital moves in the opposite direction as shareholder funding. These are the only money flows involving group companies, and they are entirely intercompany.
What no group company does
No company in the structure holds, receives, transfers, settles or controls customer or third-party funds. None operates client, safeguarding, pooled, escrow or nominee accounts. None issues wallets, electronic money, cards, tokens or any other monetary instrument. None operates payment rails or correspondent networks, and none is licensed, registered or authorised by any financial regulator, central bank or payment services authority.
